Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your use of Surge, a software-as-a-service product operated by Juna Partners Limited (company no. 17188391), registered in England and Wales ("we", "us", "our").

By accessing or using Surge, you agree to these Terms. If you are using Surge on behalf of an organisation, you confirm that you have authority to bind that organisation.

2. The service

Surge provides a contractor bench-management and staffing platform. The service includes resourcing request management, AI-assisted candidate matching, candidate vetting workflows, shortlisting and interview booking, engagement tracking, feedback collection, candidate communications, and associated administrative features.

3. Acceptable use

You agree not to:

  • Use Surge to make fraudulent, misleading or unlawful staffing or engagement arrangements
  • Upload content that infringes third-party intellectual property rights
  • Attempt to reverse-engineer, decompile or extract the source code of Surge
  • Use automated tools to scrape or excessively query the service beyond normal use
  • Share your account credentials with individuals outside your authorised organisation
  • Use the service in any way that could damage, disable or impair it
  • Upload content that is illegal, harmful, or violates any applicable law

4. Your content

You retain ownership of all content you upload to Surge, including resourcing requests, candidate records, feedback and communications you create. By uploading content, you grant us a limited licence to process that content solely for the purpose of providing the service to you.

You are responsible for ensuring you have the right to upload any documents and candidate information, including compliance with your obligations under data protection law and any confidentiality obligations you owe to candidates or clients.

5. AI-assisted matching

Surge uses AI to match candidates to resourcing requests. You acknowledge that:

  • AI-generated matches and fit scores are a tool to assist human decision-making, not a substitute for professional judgement
  • You are responsible for reviewing candidates and making all hiring and engagement decisions, including IR35 status determinations
  • We make no warranty that any matched candidate will be suitable for a particular role or engagement
  • AI outputs may contain errors, omissions or inaccuracies

6. Subscription and payment

Access to Surge is provided on a subscription basis. Pricing, included features and payment terms are agreed at the time of subscription. We reserve the right to change pricing on reasonable notice (minimum 30 days).

Subscriptions auto-renew unless cancelled before the renewal date. Refunds are not provided for unused portions of a subscription period.

7. Service availability

We aim to provide a reliable service but do not guarantee 100% uptime. We may perform maintenance that results in temporary unavailability. We will provide reasonable advance notice of planned maintenance where practicable.

8. Limitation of liability

To the maximum extent permitted by applicable law, Juna Partners Limited shall not be liable for:

  • Any indirect, consequential, special or incidental loss
  • Loss of profits, revenue, contracts, anticipated savings or business
  • The outcome of any hiring decision, engagement or IR35 status determination
  • Any loss arising from your reliance on AI-generated matches or content

Our total liability to you in connection with the service shall not exceed the fees paid by you in the 12 months preceding the event giving rise to the claim.

9. Intellectual property

Surge, its name, design, code and all related intellectual property are owned by Juna Partners Limited or its licensors. Nothing in these Terms transfers any intellectual property rights to you.

10. Termination

Either party may terminate the subscription at the end of any billing period. We may suspend or terminate your access immediately if you breach these Terms or if required by law.

On termination, you may export your data during a 30-day grace period. After this period, your data will be deleted in accordance with our Privacy Policy.

11. Governing law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notification at least 14 days before they take effect. Continued use of Surge after changes take effect constitutes acceptance.
